1. Agreement to Terms

offroadhq.com (the "Site") is operated by OffRoad HQ ("we," "us," or "our"). By accessing the Site or placing an order, you agree to these Terms of Service and to the policies they reference, including our Shipping Policy, Returns & Refunds Policy, and Privacy Policy. If you do not agree, please do not use the Site.

2. Eligibility

You must be at least 18 years old, or the age of majority where you live, to place an order on the Site.

3. Use of the Site

You may use the Site only for lawful purposes. You agree not to violate any applicable law, send unsolicited advertising, impersonate any person, introduce malicious code, scrape or collect data from the Site, or interfere with anyone else's use of the Site.

4. Products and Pricing

We may modify or discontinue any product at any time. Prices are subject to change without notice. If a product is listed at an incorrect price or with incorrect information due to an error, we may refuse or cancel any order for that product, even after the order is confirmed and payment is processed. If we cancel an order after payment, we will issue a full refund.

We make every effort to describe products accurately, including fitment, but descriptions, images, and specifications are provided by manufacturers and may contain errors. Please contact us if you have questions before ordering.

5. Orders and Payment

When you place an order, you confirm that you are authorized to use the payment method provided and that your information is accurate. We may refuse or cancel any order at our discretion, including orders that appear to be placed by dealers or resellers, or orders flagged for potential fraud. Payments are processed securely through Shopify Payments, and we do not store full card numbers.

6. Shipping, Returns, and Cancellations

Shipping, returns, refunds, restocking fees, and cancellation fees are governed by our Shipping Policy and Returns & Refunds Policy, which are part of these Terms. Delivery times are estimates and are not guaranteed.

7. Off-Road Use Only

Unless a product description specifically states otherwise, products sold on the Site are intended for off-road and closed-course use only. Many products, including lighting, are not DOT or SAE compliant and may not be legal for use on public roads. You are responsible for knowing and following all federal, state, and local laws that apply to the purchase, installation, and use of any product, including vehicle equipment, noise, and lighting laws.

8. Emissions-Related Products and California

Some products, such as exhaust, intake, and engine tuning products, may affect a vehicle's emissions system. Federal law and California law prohibit installing or using emissions-related parts that are not certified or exempted on emissions-controlled vehicles operated on public roads or lands.

Products that do not have a California Air Resources Board (CARB) Executive Order are not legal for sale or use in California on any pollution-controlled motor vehicle, including off-highway recreational vehicles, and we may cancel orders for them placed for delivery to California. Where a product is marked "for racing or competition use only," it is intended solely for vehicles used exclusively in sanctioned competition and never operated on public roads or lands. By ordering such a product, you confirm that you will use it only for that purpose. We may cancel any order we believe violates this section.

9. Installation, Fitment, and Assumption of Risk

Off-road driving and vehicle modification carry inherent risks, including risk of property damage, serious injury, or death. We strongly recommend that all products be installed by a qualified professional according to the manufacturer's instructions. You are responsible for confirming that a product is compatible with and suitable for your vehicle and intended use. Aftermarket parts may affect your vehicle manufacturer's warranty. We are not responsible for damage or injury caused by improper installation, misuse, abuse, modification, or use beyond a product's intended purpose or rated limits.

10. Radios and Communications Equipment

Some communications products, including certain business-band and race radios, require a license from the Federal Communications Commission (FCC) or another authority before they can be lawfully operated. You are responsible for obtaining any required license and using the equipment in compliance with applicable regulations.

11. Product Warranties

Products sold on the Site are covered only by the warranty, if any, provided by their manufacturer. Warranty terms are available from the manufacturer, and we're happy to help you obtain a copy before you buy or to start a warranty claim. OffRoad HQ does not provide any separate warranty of its own. To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose. Some states do not allow these limitations, so they may not apply to you.

12. Site Disclaimer

The Site and its content are provided "as is" and "as available." We do not guarantee that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

13. Limitation of Liability

To the fullest extent permitted by law, OffRoad HQ and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or loss of use, arising out of or related to your use of the Site or any product purchased through it. Our total liability for any claim will not exceed the amount you paid for the product giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

14. Indemnification

You agree to indemnify and hold harmless OffRoad HQ and its owners, employees, and agents from any claims, damages, losses, and expenses, including reasonable attorneys' fees, arising out of your violation of these Terms, your violation of any law or third-party right, or your installation or use of any product in a manner other than as intended by its manufacturer.

15. Intellectual Property

All content on the Site, including text, graphics, logos, and images, is the property of OffRoad HQ or its content suppliers and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from it without our written permission. Brand names and trademarks belong to their respective owners.

16. Third-Party Links

The Site may link to third-party websites for your convenience. We do not control and are not responsible for their content or practices.

17. California Proposition 65

Some products sold on the Site may contain chemicals known to the State of California to cause cancer, birth defects, or other reproductive harm. See our California Prop 65 Warning page for more information.

18. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute arising from these Terms or your use of the Site will be resolved in the state or federal courts located in Riverside County, California, and you consent to the jurisdiction of those courts.

19. Severability and Entire Agreement

If any part of these Terms is found unenforceable, the rest remains in effect. These Terms and the policies they reference are the entire agreement between you and us regarding the Site. Our failure to enforce any provision is not a waiver of it.

20. Changes to These Terms

We may update these Terms from time to time. Changes take effect when posted to the Site and apply to orders placed after that date. Please review these Terms periodically.
